Introduction

Welcome to Making Meaning! These Terms of Use ("Agreement") govern the interactions between yourself and Making Meaning (“Making Meaning”; "us"; "we"). By accessing this Site (comprising all webpages located at www.makingmeaning.net) or using any of the Services (as defined below), you agree to comply with, and are bound by, the terms of this Agreement. If you access this Site or use the Services in your personal capacity, you are deemed to accept this Agreement directly. If you access this Site or use the Services as a representative of an organisation, you are deemed to be authorised to act on behalf of and bind such organisation, and to accept this Agreement in such capacity. If you do not accept any part of this Agreement, please immediately stop accessing or using this Site and all Services.

 

Please also refer to our Privacy Policy (available at https://www.makingmeaning.net/privacy-policy), which sets out additional terms regarding your access to and use of the Site and Services. Capitalised terms that are not defined in this Agreement have the meaning given to them in our Privacy Policy.

 

Updates to this Agreement

Please note that we will update this Agreement from time to time. We may, but are not obliged to, notify you when we make such changes. It remains your responsibility to check this Agreement to keep yourself updated of changes made to it. As long as you continue to use or access this Site or the Services, you will be deemed to have agreed to the latest version of this Agreement in force at the material time.

Use of Site

You may need to register and maintain a profile, or create an account, to use the Site or Services. You agree to submit accurate and truthful information for such purposes, and to maintain the accuracy of such information for as long as you continue using the Site or Services.

 

You may also need to create a username and password for this profile. If so, you will be solely responsible for keeping your password safe and for any activity that occurs using your account username or profile. If your password has been stolen, please inform us immediately.

 

Use of Services

We offer multiple services through this Site (collectively, the "Services"), including: a service for volunteers (the "Volunteer Service") and a service for non-profit organisations (the "Nonprofit Service”).

 

Please note that additional guidelines or policies may apply depending on which Services you use. You agree that we may revoke suspend or terminate your use of the Service(s) immediately if we find that you failed to abide by any of the applicable additional guidelines or policies.

 

We reserve the right to take any action regarding the Services in our sole discretion and as we see fit, including by amending, suspending, or revoking any current Service or by offering new Services. We may, but are not obliged to, inform you of any change(s) to the Services regardless of whether or not such change(s) affects you.

The Volunteer Service

The Volunteer Service may be used by individuals [or volunteer organisations]. If you are volunteering as an individual, you represent to us that you are at least 18 years old. [If you are volunteering as an organisation, you represent to us that you are validly constituted under the law(s) applicable to you. You also agree that we are allowed to assume that all persons who contact us purporting to represent you are indeed your authorised representatives, and that we have no obligation to take additional steps to verify such authorisation.]

 

Please note that we do not guarantee any volunteer match or placement under the Volunteer Service. In other words, there is no assurance that you will be matched with a non-profit organisation under the Volunteer Service. In registering as a volunteer under the Volunteer Service, you are deemed to have agreed to this.

 

As a volunteer under the Volunteer Service, you agree to take full responsibility for your volunteer engagements from start to end. This includes deciding which volunteer engagements to take on, the scope of your volunteer role, the duration of each engagement, and conditions under which each project will be considered completed or terminated. It is your responsibility to work with the non-profit organisation you volunteer with to identify the agreed project objectives and outcomes in each case. You agree to carry out each engagement professionally and responsibly, and to engage respectfully with each the non-profit organisation you volunteer with. We may intervene in volunteer engagements under limited circumstances, such as when a non-profit organisation makes unreasonable demands. Whether or not we intervene, and the extent of our intervention if we do so, will depend on the facts of each case and be at our sole discretion. You agree that we are not obliged to intervene automatically at your request and that we may refuse to intervene or continue our intervention at any time for our own reasons.

 

By volunteering under the Volunteer Service, you agree not to ask for monetary compensation for any and all of the services you volunteer for each voluntary engagement you undertake through this Site. We reserve the right to take such action as we deem fit should we find out that you have requested monetary compensation for any voluntary engagement you undertake through the Volunteer Service, including by terminating your profile or account on the Site and blacklisting you to all non-profit entities that use our Site.

 

You agree to notify us immediately by emailing us via our contact form if, for any reason, you need to terminate any project you volunteer for. If you do not notify us in a timely manner and fail to complete such project, we reserve the right to take such measures as we consider fit including, without limitation, terminating your account, taking down your profile, [or barring you from volunteering for other projects in future].

The Nonprofit Service

The Nonprofit Service may be used only by non-profit organisations, societies, social enterprises, companies, or other similar entities that are validly constituted as not-for-profit enterprises under the law(s) applicable to them. By using the Nonprofit Service, you represent and warrant such of the foregoing as may be applicable and, additionally, that you are an authorised representative of the relevant non-profit organisation and are acting on its behalf in a binding capacity.

 

Please note that we do not guarantee any volunteer match or placement under the Nonprofit Service. In other words, there is no assurance that you will be matched with a volunteer under the Nonprofit Service. In registering to use the Nonprofit Service, you are deemed to have agreed to this.

 

In addition, please also note that we do not guarantee engagement outcomes or standards of work done. While we strive to confirm our volunteers’ skill sets and experience, we do not guarantee, endorse, or make any representation about this. You agree that it is your responsibility to check with each volunteer you accept about the relevance and quality of their skills and experience for each engagement. 

 

As a non-profit organisation wishing to use the Nonprofit Service, you agree to take full responsibility for the volunteer engagements you initiate from start to end. This includes clearly defining the nature and scope of the volunteer engagement, each project’s objectives and desired outcomes, the duration of each engagement, and conditions under which each project will be considered completed or terminated. You are also responsible for assessing the suitability of volunteers and deciding whether to accept them. Once you have accepted volunteers, you are responsible for communicating to them the above information about each engagement and for responding to their questions about it. You agree to carry out each engagement professionally and responsibly, and to engage respectfully with each volunteer you accept. Whether or not we intervene, and the extent of our intervention if we do so, will depend on the facts of each case and be at our sole discretion. You agree that we are not obliged to intervene automatically at your request and that we may refuse to intervene or continue our intervention at any time for our own reasons.

 

If you wish to stop using our Nonprofit Service, you must notify us immediately by emailing us via our contact form. We may take some time to process the request and remove your profile. You are responsible for following up as necessary with volunteers you communicated with when you use the Nonprofit Service, including by letting them know whether or not you will still require their voluntary efforts.

 

Information

In using the Site or Services, you may need to provide information to us or other persons (including other users of the Site or Services). You agree not to provide to us or any such person information that is (to the best of your knowledge) untrue, inaccurate, or false. If you later find out that any information you provided is untrue, inaccurate, or false, you agree to update the recipient of the information as soon as possible.

Prohibited Conduct

We will not tolerate conduct outlined in this section (“Prohibited Conduct”). You agree that you will not use this Site or any of the Services to conduct or facilitate (or attempt to conduct or facilitate) any Prohibited Conduct, and that we have the right to take such action as we consider fit should we suspect or find that you have engaged in or facilitated any Prohibited Conduct.

 

Prohibited Conduct includes using the Site or Services in a manner that:

•    violates or infringes the rights of Making Meaning, other users, or any other party (including, without limitation, patent, trademark, trade secret, copyright, or other intellectual property rights; privacy rights; or publicity rights);

•    promotes racism, bigotry, hatred, or harm of any kind against any group or individual;

•    is intended to, may, or does harass, annoy, threaten, harm, or intimidate any other users of the Site or Services;

•    reproduces, duplicates, copies, sells, resells, or exploits any portion of the Site or Services without our prior written authorisation;

•    is defamatory, inaccurate, abusive, obscene, profane, offensive, tortious, or otherwise objectionable;

•    promotes illegal or unlawful activities;

•    may defraud or deceive others;

•    collects, stores, or disseminates personal information about any other user or third party without his/her permission;

•    uses scripts, bots, or other automated technology to scrape, hack, or gain unauthorised access to the Site;

•    interferes with or disrupts the Site or Services or servers, computers, or networks connected to the Site or Services;

•    uses the Site or Services, or information obtained from using the Site or Services, for chain letter, junk mail, or spam email;

•    frames the Site, places pop-up windows over the Site, or affects the display of its pages without our prior written consent; or

•    otherwise constitutes unethical, unlawful, or criminal activity.

 

Prohibited Conduct also includes advertising or soliciting any user to buy or sell any products or services through the Site or Services without our prior written consent. You agree not to use any information obtained from the Site or Services in order to contact, advertise to, solicit, make offers to, or sell to any user without their prior explicit consent.

 

Prohibited Conduct also includes holding yourself out as a representative, partner, agent, employee, affiliate, associate, or other related person of Making Meaning without or prior explicit written consent to do so.

 

If you encounter any person engaging in Prohibited Conduct, you agree to alert us to this as soon as reasonably possible.

Third parties

We use content and services from third parties in running the Site and as part of the Services. Unless expressly stated otherwise, we:

  1. (i)    do not endorse or assume any responsibility for the truth, accuracy, or reliability of any content, opinion, advice, information, or statement made on the Site or as part of the Services; and

  2. (ii)    are not responsible for any loss or damage you may suffer in relying on such third-party content or services including, without limitation, loss or damage suffered from disruption or downtime in accessing or using the Site or Services.

 

You may encounter links to third party websites when using the Site or Services. You visit all such links entirely at your own risk. We do not, and are not obliged to, check, verify, edit, endorse, screen, monitor, or control these websites, and are not responsible for any negative outcome that may arise when you visit any such link. Please exercise caution when visiting a third party site.

Intellectual property rights

When you post or share content when using the Site or Services, all intellectual property rights (“IPR”) you own or license in such content will continue to be owned or licensed by you. However, by so posting or sharing, you represent and warrant that you have the right to grant, and you thereby automatically grant to us, an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, publicly display, and distribute such information and content, and to prepare derivative works of, or incorporate into other works, such information and content.

 

Please also note that once you register to use the Site or Services, you are deemed to grant us an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, publicly display, and distribute your organisation’s logo and images for our publicity or marketing purposes. If you wish to revoke this grant, you will need to inform us promptly in writing.

 

If you do not own or license any IPR in content you post or share on the Site or in providing or using the Services, you agree to fully indemnify and hold us, our affiliates, employees, directors, representatives and service providers, and each of its or their respective officers, directors, agents, joint ventures, employees, and representatives (collectively, or “Associated Parties”) harmless from all claims arising directly or indirectly, whether out of or in relation to, any infringement or alleged infringement of any IPR in your posting or sharing of content.

Indemnity

You agree to defend, fully indemnify, and hold us and each of our Associated Parties harmless from any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees, court costs, and disbursements) arising out of or related to your breach of this Agreement; your use of the Site or Services; or your violation of any applicable law, rule, regulation, or rights of any third party.

 

You also agree that in the event of a claim such as one described in this paragraph, we may elect to settle with the party(s) making the claim and you agree to be liable for the full settlement amount if so.

Limitation of liability

PLEASE READ THIS SECTION CAREFULLY SINCE IT LIMITS THE LIABILITY OF MAKING MEANING AND EACH OF ITS ASSOCIATED PARTIES. EACH OF THE SUBSECTIONS BELOW ONLY APPLIES UP TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW. NOTHING HEREIN IS INTENDED TO LIMIT ANY RIGHTS YOU MAY HAVE WHICH MAY NOT BE LAWFULLY LIMITED.

 

THE SITE AND SERVICES ARE MADE AVAILABLE TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, OR STATUTORY. MAKING MEANING SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT, AND DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT YOUR ACCESS TO THE SITE, THE SERVICES, OR ANY PART OR MATERIALS MADE AVAILABLE THEREIN, WILL BE ERROR FREE, CONTINUOUS, UNINTERRUPTED OR ACCURATE. YOU UNDERSTAND AND AGREE THAT THERE ARE RISKS IN USING THE SITE OR SERVICES, AND THAT YOUR USE OF THE SITE OR SERVICES IS SOLELY AT YOUR OWN DISCRETION AND RISK.

 

IN NO EVENT WILL MAKING MEANING OR ANY OF ITS ASSOCIATED PERSONS BE LIABLE TO YOU OR ANYONE ON YOUR BEHALF, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATIONS, LOSS OF REVENUES OR DATA, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORISED OR UNAUTHORISED USE OF THE SITE OR SERVICES OR THIS AGREEMENT. THIS MAY INCLUDE, WITHOUT LIMITATION, VIRUSES, ERRORS, OR TECHNICAL DISRUPTIONS, INDIRECTLY CAUSED, WHICH MAY AFFECT THE SITE, THE SERVICES, OR THIS AGREEMENT. THIS MAY ALSO INCLUDE ANY LOSS OR DAMAGE YOU OR ANY OTHER PERSON MAY SUSTAIN FROM THE ACTIONS OF OTHERS.

 

MAKING MEANING AND EACH OF ITS ASSOCIATED PARTIES MAKE NO CLAIMS OR PROMISES ABOUT THE QUALITY, ACCURACY, RELIABILITY, OR LEGALITY OF ANY USER-PROVIDED CONTENT OR CONTENT PROVIDED BY THIRD PARTIES INCLUDING, BUT NOT LIMITED TO, THE SKILLS AND ABILITIES OF THE VOLUNTEERS, THE AVAILABILITY OF VOLUNTEERS OR VOLUNTEER OPPORTUNITIES, OR THE NATURE OF VOLUNTEER OPPORTUNITIES. ACCORDINGLY, MAKING MEANING IS NOT LIABLE TO YOU FOR ANY LOSS OR DAMAGE THAT MIGHT ARISE FROM RELIANCE ON USER-PROVIDED CONTENT OR CONTENT PROVIDED BY THIRD PARTIES. IT IS SOLELY YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS, AND USEFULNESS OF ALL INFORMATION YOU ACCESS OR OBTAIN THROUGH THE SITE OR SERVICES.

 

MAKING MEANING IS NOT INVOLVED IN ANY RELATIONSHIPS BETWEEN USERS. YOU HEREBY ACKNOWLEDGE AND AGREE THAT MAKING MEANING DOES NOT MAKE ANY REPRESENTATION, WARRANTY, ASSURANCE, OR GUARANTEE IN RELATION TO ANY PROJECT, ENGAGEMENT, COLLABORATION, COMMUNICATION, OR DISCUSSION ORIGINATING FROM THIS SITE OR THE SERVICES INCLUDING, WITHOUT LIMITATION, IN RELATION TO THE OUTCOME OF ANY OF THE FOREGOING.

 

YOU UNDERSTAND AND AGREE THAT YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY WITH RESPECT TO ANY DEFECT IN OR DISSATISFACTION WITH THE SITE OR SERVICES OR ANY OTHER GRIEVANCE SHALL BE YOUR DISCONTINUATION OF ACCESS TO, OR USE OF THE SITE OR SERVICES AND THAT NO FURTHER RIGHT OR REMEDY WILL BE REQUIRED.

Disputes

If you are involved in any dispute with another user or any third party in the course of accessing or using the Site or Services, you are responsible for resolving such dispute. You acknowledge and agree that Making Meaning is neither responsible for nor required to assist you in any way in resolving any such dispute.

Term and termination

This Agreement is effective once you access our Site and will remain binding on you until you or we choose to terminate this Agreement in any of the following ways:

 

  1. If you have created a profile or opened an account on the Site, when we receive an email from you informing us of your desire to terminate your profile or account. Please note that we will only read emails that are sent to us through the contact form on the Site

  2. We decide to terminate your profile or account in response to your actual or alleged breach of any term of this Agreement. This includes, but is not limited to, you making any false or inaccurate representation.

 

General terms

This Agreement, the Privacy Policy, and such other policies and guidelines of ours that are incorporated by reference herein comprise the entire understanding and agreement between you and us as to the subject matter hereof, and supersedes any and all prior discussions, agreements and understandings of any kind (including, without limitation, any prior versions of this User Agreement).

 

Any failure on our part to enforce any term of this Agreement for any reason does not in and of itself constitute a waiver of any right accorded under each such term or the right to subsequently enforce each such term.

 

All communications between yourself and us will be electronic. This includes emails you send to us directly or through the Site’s contact form and notices we post on the Site. All such electronic communications are deemed to be in writing for purposes of any legal requirement.

 

This Agreement shall be governed by construed in accordance with the laws of the Republic of Singapore. You agree to submit all disputes arising out of or in connection with this Agreement to the exclusive jurisdiction of the Singapore courts.
